Role Overview
This six-month fixed-term role sits in the Legal Department and supports the full range of legal work across the WIOCC Group. Reporting to the Director, Legal, you will handle corporate secretarial duties, commercial contracting, transaction support, and compliance across several African jurisdictions. The position is vital for keeping the Group’s operations compliant, well-documented, and commercially sound.
Key Responsibilities
- Prepare and submit statutory filings for Group entities, and keep statutory registers and corporate records current across multiple countries.
- Support governance work such as intra-group agreements, corporate approvals, and entity restructuring, and maintain matter records, contract registers, precedent databases, and departmental reporting.
- Help with financing and project transactions by reviewing facility and security documents, tracking conditions precedent, and supporting due diligence exercises.
- Coordinate transaction workstreams involving lenders, investors, external counsel, and internal teams, and keep closing files and post-completion records complete and accurate.
- Handle the drafting, review, and negotiation of commercial contracts, including agreements for customer services, supplier and procurement arrangements, confidentiality, and framework terms.
- Guide internal teams on contractual risks and sensible ways to reduce them, and help create and update standard templates and playbooks.
- Support the management of disputes and claims by preparing case summaries, working with external counsel, and keeping the disputes register up to date.
- Contribute to compliance work such as data protection reviews, anti-bribery and anti-corruption programmes, and due diligence on counterparties.
Requirements & Qualifications
- Bachelor of Laws (LL.B) from a recognised institution.
- Postgraduate Diploma in Law and admission to the Bar.
- At least three years of relevant experience, whether as in-house legal counsel or at a reputable law firm.
- Solid experience in corporate and company secretarial work, with demonstrated involvement in financing or other corporate transactions.
- Proven ability to draft, review, and negotiate commercial contracts; experience in telecommunications, data centres, infrastructure, or technology is a plus.
- Experience across multiple African jurisdictions or within a multinational organisation is highly desirable.
- Exceptional drafting skills, able to produce high-quality legal documents with minimal need for revision.
- Sound commercial judgement and the ability to give clear, practical legal advice in a fast-paced environment.
- Strong organisational skills and the ability to juggle multiple priorities, competing deadlines, and complex transactions.
- Ability to work independently, exercise sound judgement, and recognise when to escalate matters.
- High professionalism and discretion when dealing with senior stakeholders, external counsel, and confidential or commercially sensitive information.
- Demonstrated ability to quickly grasp the Group’s business operations, commercial objectives, and legal implications.
- Excellent written and verbal communication, with the ability to influence stakeholders and build effective working relationships at all levels.
