Role Overview
You will be the first line of review for a steady flow of commercial agreements, tackling everything from nondisclosure pacts to vendor and subcontractor contracts. Each day involves reading through terms, flagging exposures, and preparing clear summaries so that leadership can make quick, informed decisions. This role directly supports the legal and procurement teams by handling the bulk of standard reviews and initial negotiations, allowing senior staff to focus only on the highest-risk or most complex matters.
Key Responsibilities
- Examine a variety of contracts including client agreements, vendor terms, subcontractor arrangements, and NDAs, noting obligations, deadlines, and payment structures.
- Draft concise executive summaries that capture the essential business points: parties involved, contract duration, key financial terms, and major commitments.
- Identify and classify contractual risks by severity—low, medium, high—and document each finding with a brief rationale.
- Handle first-round negotiations on routine, nonmaterial clauses such as standard confidentiality provisions or administrative details, using pre-approved language.
- Apply track changes and comment features in Microsoft Word to propose revisions and highlight concerns clearly within the document.
- Recognize when a contract contains significant deviations from company policy or presents high-level risk and promptly escalate it with supporting context.
- Keep an organized repository of all contracts under review, tracking status updates, pending items, and final outcomes for easy reference.
- Support the contract lifecycle by coordinating signature workflows, monitoring renewal dates, and filing executed documents in the appropriate systems.
Requirements & Qualifications
- Advanced English proficiency, both written and spoken, sufficient to communicate complex contractual concepts clearly.
- At least two years of hands-on experience in contract review, paralegal functions, or contract administration—translating legal language into practical business insights.
- Strong command of Microsoft Word, especially Track Changes, comment tools, and formatting for redlining documents efficiently.
- Proven ability to work independently, prioritize multiple concurrent reviews, and meet deadlines without constant supervision.
- Availability to align working hours with Texas business time zone (typically 8 am–5 pm CT).
- Solid understanding of core contractual concepts: indemnification, limitation of liability, termination clauses, governing law and jurisdiction, insurance requirements, and payment terms.
