Role Overview
The Company Secretary is responsible for keeping the company’s statutory position accurate, current, and defensible. On a day-to-day basis, this means preparing and submitting filings through the Business Registration Service (BRS) portal, maintaining corporate registers and meeting records, and coordinating board and shareholder documentation. The role matters because it protects the company from compliance risk and gives directors and management reliable records for governance and decision-making.
Key Responsibilities
- Prepare, submit, and follow up on statutory filings, annual returns, and company updates through the BRS portal.
- Handle corporate changes such as director appointments or removals, share allotments, structural adjustments, and updates to company particulars.
- Monitor statutory timelines and engage with regulatory authorities to maintain each entity’s good standing.
- Draft and maintain statutory registers, minute books, board resolutions, AGM notices, and related corporate records.
- Organize board and shareholder meetings, including scheduling, logistics, agenda circulation, and minute-taking.
- Advise directors and management on company law developments, governance codes, and statutory compliance duties.
- Keep physical and digital archives of certificates, agreements, resolutions, and filings in an orderly, retrievable system.
- Protect confidential board and corporate information while serving as the liaison with regulators, legal advisers, state agencies, and internal teams.
Requirements & Qualifications
- Professional company secretarial qualification with active membership in a recognized body, such as ICSK or CPS-K.
- At least three years of direct experience in company secretarial work, statutory compliance, or BRS filings.
- Hands-on experience using the Kenyan Business Registration Service (BRS) portal.
- Working knowledge of the Kenyan Companies Act, corporate governance guidelines, and statutory filing requirements.
- Proficiency with MS Office and digital records management tools.
- Strong attention to detail and a methodical approach to documentation.
- High discretion, professional integrity, and clear communication skills.
