Role Overview
This position sits within the legal function of a business operating in Kenya, providing hands-on counsel across the full spectrum of corporate and commercial activity. In practice, you will interpret and advise on laws affecting ongoing operations, support transactional work from due diligence through to closing, and manage corporate secretarial and compliance responsibilities. The role matters because it safeguards the company’s interests by anticipating legal risks, structuring commercially sensible solutions, and ensuring that every internal policy and external agreement aligns with statutory and regulatory requirements.
Key Responsibilities
- Advise leadership and internal stakeholders on the meaning, scope, and practical impact of relevant laws and general conditions that touch each area of business operations.
- Coordinate legal due diligence processes, compile the necessary documentation, and support the closing of corporate and commercial transactions.
- Design and execute compliance checks across all legal frameworks that apply to the company, and keep the business alert to regulatory obligations.
- Develop commercial and legal structuring options that support effective corporate arrangements while protecting the company’s longer-term interests.
- Maintain corporate secretarial deliverables such as policies, procedures, registers, and other statutory records.
- Draft, review, and negotiate a wide range of legal documents and contracts, ensuring clarity, enforceability, and consistency with company objectives.
- Work closely with external legal counsel and internal departments to manage litigation, coordinate responses, and convey complex legal issues clearly.
- Represent the company in court when required, litigating matters on its behalf, and respond to any ad hoc legal queries or assignments that arise during daily operations.
Requirements & Qualifications
- A Second Class degree in Law (LL.B) from a recognised university.
- Full completion of the academic programme at the Kenya School of Law, including Pupillage.
- A B+ grade or better in O-levels or equivalent high school qualifications.
- Demonstrated knowledge and working familiarity with corporate law, commercial and investment law, real estate principles, financial markets, and related tax considerations.
- A commercial mindset that can apply legal reasoning creatively to real business situations.
- Ability to anticipate legal problems proactively and respond with practical, innovative solutions.
- A collaborative team player who is willing to learn, adapt quickly, and handle tasks with minimal supervision.
- Strong organisational, administrative, communication, influencing, and interpersonal skills.
- Resilience, energy, and comfort working long hours under pressure.
- Excellent analytical and problem-solving capabilities, with the judgment needed to inform sound legal decisions.
