Role Overview
This position sits at the intersection of corporate law and governance, offering a dual mandate: safeguard the organisation’s legal position across its commercial dealings while fulfilling statutory company secretarial duties. Day to day, you will draft and negotiate a wide range of contracts, advise internal teams on employment and regulatory compliance, and ensure board-level processes run with full legal and ethical integrity. Your work directly protects the group from legal exposure and reinforces its reputation with regulators, partners, and the board.
Key Responsibilities
- Draft, review, and negotiate contracts spanning service level agreements, maintenance and project contracts, partnership and subcontractor arrangements, employment agreements, and ICT-related contracts, ensuring each aligns with group policy and limits legal risk.
- Manage the full contract lifecycle, including tracking renewals, monitoring compliance with agreed terms, and flagging potential breaches or expirations before they become issues.
- Lead the preparation, negotiation, and registration of leases for new premises, coordinating with landlords and conveyancers to finalise documentation.
- Provide pragmatic legal advice to leadership and operational teams on labour law compliance, disciplinary processes, and emerging employer-employee issues.
- Oversee statutory filing schedules, including annual returns, and ensure the organisation meets all obligations imposed by company law and governance codes.
- Administer board procedures, from director appointments to the accurate recording and maintenance of minutes, official registers, and minute books.
- Support corporate strategy implementation by advising on governance frameworks, business ethics, and internal policy alignment.
- Coordinate annual governance audits with accredited external professionals, present findings to the board, and ensure recommended actions are formally considered and tracked.
Requirements & Qualifications
- Bachelor of Laws degree (LL.B) from a recognised university, with admission as an Advocate of the High Court of Kenya and a valid practising certificate.
- Registration as a Certified Public Secretary (Kenya) — CPS(K) — with a thorough working knowledge of the Companies Act and corporate governance practice.
- At least five years of post-admission legal experience, including three years within a corporate legal environment handling commercial and governance matters.
- Demonstrated experience acting as company secretary, including direct liaison with regulators, external auditors, and company lawyers.
- Strong drafting and negotiation skills, with the ability to distil complex legal issues into clear guidance for non-legal stakeholders.
- High attention to detail and professional integrity, especially when managing confidential board matters and statutory records.
