Role Overview
This role places you inside a professional consulting firm in Ngara, Nairobi, where you will manage company secretarial work for multiple corporate clients. Your daily focus is on keeping statutory records accurate, preparing governance documents, and ensuring filings reach the Business Registration Service on time. The position matters because clients rely on you to protect their legal standing, avoid penalties, and maintain clean corporate records.
Key Responsibilities
- Handle company incorporations, business name registrations, structural changes, and beneficial ownership submissions through the BRS/eCitizen portal.
- Run official registry searches, obtain CR12 documents and certified copies, and chase government agencies to resolve delayed filings.
- Maintain a compliance matrix that tracks annual returns, statutory deadlines, and filing obligations for every client company.
- Draft board meeting notices, agendas, resolutions, and detailed minutes for board, committee, and annual general meetings.
- Keep both physical and digital statutory registers, including those for directors, shareholders, debentures, and share transfers.
- Advise management and client boards on Kenyan company law, annual filing requirements, and corporate governance best practices.
- Serve as the main contact for client questions about statutory filings, corporate changes, and governance documentation.
- Archive original share certificates, company seals, minute books, and other sensitive records under strict confidentiality controls.
Requirements & Qualifications
- Qualified Company Secretary with a KASNEB CPS certification or an equivalent recognised professional credential.
- Active membership in good standing with the Institute of Certified Secretaries (ICS).
- At least three years of hands-on experience in company secretarial services, corporate compliance, or BRS registry processing.
- Sound working knowledge of the Kenyan Companies Act, statutory compliance frameworks, and corporate governance codes.
- Proven ability to navigate and submit filings through the BRS/eCitizen portal accurately and efficiently.
- Strong drafting skills for legal minutes, board resolutions, and statutory documents, with close attention to detail.
- High ethical standards and a demonstrated commitment to handling confidential corporate information with discretion.
